1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the CopyClap encrypted file storage platform (the "Service"), operated by CopyClap. By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.
2. Eligibility
You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this eligibility requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
3. Account Registration and Security
To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
You are responsible for maintaining the confidentiality of your account credentials, including your vault password and recovery phrase. You agree to notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials.
4. Description of Service
CopyClap provides client-side encrypted file storage, organization, and sharing. All file encryption and decryption operations are performed locally in your browser. The server stores only encrypted ciphertext and associated metadata. We do not have the ability to decrypt your files, reset your vault password, or recover your data if you lose your credentials or recovery phrase.
5. Free and Paid Subscriptions
The Service is offered in Free and Pro tiers. Free accounts are subject to storage quotas, daily download limits, and feature restrictions as described on our website. Pro subscriptions provide expanded quotas and additional features.
Pro subscriptions are billed in advance on a recurring basis. If payment fails, your account will enter a grace period. After the grace period expires, your account will revert to the Free tier. If your stored data exceeds the Free tier quota, you will have a 60-day grace period to download or delete excess files.
All fees are non-refundable except where required by law or at our sole discretion. We reserve the right to modify pricing with reasonable notice.
6. Zero-Knowledge Architecture and User Responsibility
CopyClap operates on a zero-knowledge architecture. Your encryption keys are derived from your vault password and are never transmitted to or stored by our servers. While this design provides strong privacy guarantees, it also means that we cannot reset your vault password, recover your encryption keys, or decrypt your files under any circumstances.
You are solely responsible for:
- Creating and remembering a strong vault password;
- Safely storing your 12-word recovery phrase;
- Maintaining backups of critical data outside the Service;
- Any data loss resulting from forgotten passwords or lost recovery phrases.
7. Acceptable Use
You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You may not:
- Upload, store, or share illegal content, including content that violates intellectual property rights;
- Upload malware, viruses, or other harmful software;
- Use the Service to harass, threaten, or harm others;
- Attempt to circumvent security measures, access other users' accounts, or probe for vulnerabilities;
- Use automated systems (bots, scrapers) to access the Service in ways that violate our rate limits;
- Use the Service for any activity that violates export control or cryptography regulations.
8. Content Moderation and Removal
We reserve the right, but not the obligation, to review, monitor, or remove content that violates these Terms or applicable law. If we determine that content violates our policies, we may remove the content, suspend or terminate your account, and report the violation to appropriate authorities. Because of our zero-knowledge architecture, we generally cannot inspect file contents; however, we may act on reports, abuse signals, or legal requests related to public share links and metadata.
9. Intellectual Property Rights
Your Content. You retain all ownership rights to the files and data you upload. By uploading content, you grant us a limited, non-exclusive license to store, transmit, and process your encrypted data solely as necessary to operate and provide the Service.
Our Property. The Service, including all software, designs, trademarks, logos, and underlying technology, is the property of CopyClap and is protected by intellectual property laws. These Terms do not grant you any right to use our trademarks or branding without our prior written consent.
10. Copyright Policy (DMCA)
We respect the intellectual property rights of others and expect our users to do the same. If you believe that material available through the Service infringes your copyright, please send a written notice containing: (i) your contact information; (ii) identification of the copyrighted work claimed to be infringed; (iii) identification of the material to be removed; (iv) a statement of good faith belief; (v) a statement of accuracy under penalty of perjury; and (vi) your physical or electronic signature. We will respond to valid notices in accordance with applicable law.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DATA LOSS WILL NOT OCCUR.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CopyClap, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (iv) ANY OTHER MATTER RELATING TO THE SERVICE.
IN ANY CASE, OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).
13. Indemnification
You agree to indemnify, defend, and hold harmless CopyClap and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (i) your access to or use of the Service; (ii) your violation of these Terms; (iii) your violation of any third-party right, including intellectual property or privacy rights; or (iv) any content you upload or share through the Service.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which CopyClap is established, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction for the resolution of any disputes arising from these Terms or the Service.
15. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
16. Termination
We may suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, limitation of liability, and indemnification.
17. Changes to Terms
We may modify these Terms at any time. Material changes will be posted on this page with an updated "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service.
